personal gain. Employees must use good judgment to determine whether a conflict of interest
               exists.
                   ➢  Employees should be courteous and respectful to a customer or any member of the public
                       while in the course and scope of Mission business. Prohibited activity also includes any
                       illegal acts in restraint of trade.


                   ➢  Employees who have access to confidential information are expected to safeguard it and
                       accept responsibility for its security and proper use. All documents, materials and data
                       received in connection with employment at Mission must be returned to Mission upon
                       termination  of  employment  without  any  copies  thereof  being  retained  by  any  former
                       employee. Employees may not accept any employment relationships with any organization
                       that does business with or competes with Mission. This prohibition includes serving as an
                       advisor, board member or consultant to any organization of that type, unless such activity
                       is conducted as a representative of Mission.

                   ➢  Employees  must  disclose  any  financial  interest  they  or  any  of  their  immediate  family
                       members have in any entities that conduct business with Mission or that compete with
                       Mission.

                   ➢  Employees  are  prohibited  from  accepting  substantial  gifts  or  favors  from  a  customer,
                       supplier or potential supplier of Mission without approval. A “substantial gift” is defined
                       as cash, merchandise, gift certificates, trips, facility use or any other consideration having
                       a value sufficient to influence a person’s judgment or decision. Anything with a value of
                       more than a business lunch (approximately $50.00) will be considered a “substantial gift.”

                   ➢  Employees may not give, offer or promise, directly or indirectly, anything of value to any
                       representative of a customer, a potential customer or a financial institution in connection
                       with  any  transaction  or  business  that  Mission  may  have  with  that  customer,  potential
                       customer or financial institution. Examples of violations include holding an ownership or
                       financial interest in any of those companies and accepting gifts, money, or service from
                       any of them.

               Any conflict or potential conflict of interest must be promptly disclosed to Mission. Failure to do
               so may result in corrective action, up to and including termination of employment. Employees
               with a conflict of interest question should seek advice from the management of Mission before
               engaging in any activity, transaction or relationship that might give rise to a conflict of interest.

               OUTSIDE EMPLOYMENT

               Mission is proud of its diligent, dedicated, and talented workforce. Each employee’s service to
               Mission is invaluable to Mission’s efforts.  Mission expects Mission to be the first job priority of
               each employee, but Mission also understands that there may be a personal need for occasional,
