under any circumstances, unless an employee needs to do so in order to carry out his or her job
               duties, or unless the person discussing the information is talking or otherwise communicating
               with the subject of the information at that person's invitation. If an employee is concerned about
               a possible medical condition on the part of a coworker, the employee must not discuss such
               concern with anyone other than their Supervisor, Manager, Human Resources, or the President.

               Remote Employees

               Typically, working remotely provides employees with an opportunity to work from an alternative
               work environment instead of in the primary location of the Company.  Working remotely must
               be approved by your manager.  You and your manager must inform Human Resources of any
               work location change and employees are obligated to self-report tax withholding changes due to
               change in work location. nou Systems retains the right in its sole discretion to designate positions
               that are appropriate  for working remotely  and approve employees  for working remotely.
               Working remotely does not change the conditions of employment or required compliance with
               all Company policies and procedures. The Company reserves the right to change or terminate the
               remote worker’s work site at any time, without cause or advance notice, or to request that an
               employee working remotely come into the office at any time and for any reason. Your ability to
               work remotely rests in the sole discretion of the Company. Working remotely is a privilege and
               may not be appropriate for all employees. Remote workers are solely responsible for ensuring
               the safety of their alternative work environment. The Remote Workers are liable for any injuries
               that occur to third parties at or around their alternative work environment. Unless otherwise
               agreed upon, hours and days of work for remote employees will remain the same as if they were
               working in the office. Employees agree to apply themselves during regular work hours. Working
               remotely is not intended as a substitute for childcare or care for another adult. If a child or adult
               needs care during work time, another responsible individual is expected to be present.

               Remote workers are expected to attend all required meetings.

               7.8 Purchasing Guidelines

               Purchasing guidelines provide accountability for nou Systems in the  purchase of goods and
               services. Purchasing guidelines are developed to provide a framework and develop a consistent
               approach to purchasing throughout nou Systems.


               Authorization

                   •  Employees have the authority to make purchases up to the limit given them on their
                       Company credit card for Company and business-related purchases.

                   •  All purchases over the credit card limit must be approved by the President/CEO.
