CHAPTER II
                                         GENERAL
                                         Article 1
                            Parties of Collective Labor Agreement

             This Collective Labor Agreement (“CLA”) is signed by Bank and Union
              (“Parties”)

                                         Article 2
                                   Agreement Coverage

              The CLA only regulates general matters as agreed and elaborated in
              this CLA.
              The rights and obligations of the Management  and   Union as
              regulated by Manpower laws shall remain in force.

                                         Article 3
                           Rights and Obligations of Management

              Management  has  the  prerogative in supervising,  managing  and
              securing the running of Bank and Employees.
              Union may provide suggestions related  to the implementation of
              supervision and management of the Bank by the Management.
              The Union shall be entitled to represent Member, both in person or in
              collectively in the field of industrial relation or in the matters related
              to working relations,.
              Management and  Committee shall explain the Collective Labor
              Agreement to all Employees.

                                         Article 4
                               Right and Obligations of Union

              1.  The Management  acknowledges that the  Union as  the
                 organization of Employees that represents its Members.
              2.  Management will not exert pressure in any form, either directly or
                 indirectly, or conduct discriminatory treatment and reprisals to
