DIVERSIFIED EMPLOYEE HANDBOOK




        Standards of Conduct

        Diversified expects employees to exercise reasonable judgment and perform to the best of their abilities at all
        times. You will be asked to acknowledge a Code of Conduct annually. While it is not possible to list all the forms
        of behavior that are considered unacceptable in the workplace, we strive to describe the general expectations
        for appropriate behavior.

        Employees will be corrected for inappropriate workplace conduct and inadequate performance using oral and
        written warnings, work plans, suspensions with or without pay, and/or termination of employment. We may, at
        our sole discretion, use any one or a combination of these methods, depending on the circumstances.

        The following is a nonexclusive list of the conduct that could result in immediate termination of employment:

            •  Theft or dishonesty
            •  Falsification of timekeeping records

            •  Violation of drug and alcohol policy
            •  Vandalism or destruction of any company property
            •  Engaging in behavior that is discourteous, insubordinate or contrary to the Diversified DNA and brand
               when engaging with a customer or another employee

            •  Violation of safety or health rules
            •  Violation of our EEO or harassment policy

            •  Possession of dangerous or unauthorized materials, such as explosives or firearms, in the workplace
            •  Excessive absenteeism or any absence without notice
            •  Disclosure of confidential, proprietary or trade secret information to persons outside Diversified

            •  Violation of company policy or procedure



        Workplace Violence
        It is Diversified’s goal to endeavor to maintain a work environment free from intimidation, threats or violent acts.
        To that end, Diversified has adopted a zero-tolerance policy regarding violence in the workplace. This includes,
        but is not limited to, intimidating, threatening or hostile behaviors, physical abuse, sexual assault, vandalism,
        arson, sabotage, use of weapons, carrying weapons of any kind onto Company property, or any other act, which,
        in management’s opinion, is inappropriate to the workplace.

        Employees who feel they have been subjected to any of the behaviors listed above are requested to immediately
        report the incident to their supervisors or a member of The PeopleTeam. Complaints will be investigated.

        Employees  who  observe  or  have  knowledge  of  any  violation  of  this  policy  should  immediately  report  it  to
        Diversified management or a member of the PeopleTeam.
