1. โค งส างของคณะก มกา ส หาและกําหนดค<าตอบแทน

Nomination and Remuneration Committee Structure
1.1 คณะก มกา ส หาและกําหนดค<าตอบแทน จะป ะกอบไปด วยก มกา จํานวนไม<เกินห า (5) คน

โดยจะต องได ับกา แต<งตั้งจากคณะก มกา บ ิษัท

The Nomination and Remuneration Committee shall be comprised of up to five (5)
members appointed by the Board of Directors.

1.2 คณะก มกา ส หาและกําหนดค<าตอบแทน จะทําหน าที่เปjนป ะZานคณะก มกา ส หาและกําหนด

ค<าตอบแทน หนึ่ง (1) คน และ องป ะZานอีกหนึ่ง (1) คน โดยป ะZานคณะก มกา ส หาและกําหนด

One (1) of the Nomination and Remuneration Committee member shall hold a duty
of Chairperson of the Nomination and Remuneration Committee and another one

(1) member as Vice Chairperson. The Chairperson must be an Independent Director
to drive in the operation of the Nomination and Remuneration Committee
independently.

1.3 คณะก มกา ส หาและกําหนดค<าตอบแทน สามา ถแต<งตั้งผู บ ิหา ของบ ิษัทฯที่มีคุณสมบัติและ
ป ะสบกา ณNที่เหมาะสมเปjนเลขานุกา คณะก มกา อีกหนึ่ง (1) คน

The Nomination and Remuneration Committee can appoint another one (1)

executive of the Company who has appropriate qualifications and experience to be
the Secretary of Nomination and Remuneration Committee

1.4 คณะก มกา ส หาและกําหนดค<าตอบแทน จะต องเปjนบุคคลที่มีความ ู ความสามา ถ และ
มีป ะสบกา ณN ตลอดจนมีความเข าใจถึงคุณสมบัติ หน าที่ และความ ับผิดชอบในzานะก มกา ส หา

และกําหนดค<าตอบแทน

The Nomination and Remuneration Committee shall be persons with knowledge
and competency as well as experience and understanding on the qualifications,
duties and responsibilities of the Nomination and Remuneration Committee
