1. โค งส างของคณะก มกา กํากับดูแลกิจกา

Corporate Governance Committee Structure
1.1 คณะก มกา กํากับดูแลกิจกา จะป ะกอบไปด วยก มกา จํานวนไม<น อยกว<าสาม (3) คน

โดยจะต องได ับกา แต<งตั้งจากคณะก มกา บ ิษัท

The Corporate Governance Committee shall be comprised of at least three ( 3)
members appointed by the Board of Directors.

คณะก มกา กํากับดูแลกิจกา ทําหน าที่เปjนป ะZานแทน

The Chairperson of Corporate Governance Committee should be an Independent
Director to drive in the operation of the Corporate Governance Committee

independently. In case the Chairperson cannot perform the duties according to
any reasons, a member of the Corporate Governance Committee will be appointed
by the Chairperson or the Meeting of Corporate Governance Committee to perform
the duties on behalf of the Chairperson.

1.3 คณะก มกา กํากับดูแลกิจกา สามา ถแต<งตั้งผู บ ิหา ของบ ิษัทฯ ที่มีคุณสมบัติและป ะสบกา ณN

ที่เหมาะสมเปjนเลขานุกา คณะก มกา อีกหนึ่ง (1) คน
The Corporate Governance Committee can appoint another one (1) executive of

the Company who has appropriate qualifications and experience to be the Secretary
of the Corporate Governance Committee.

1.4 คณะก มกา กํากับดูแลกิจกา จะต องเปjนบุคคลที่มีความ ู ความสามา ถ และมีป ะสบกา ณN
ตลอดจนมีความเข าใจถึงคุณสมบัติ หน าที่ และความ ับผิดชอบในzานะก มกา กํากับดูแลกิจกา

The Corporate Governance Committee shall be persons with knowledge and

competency as well as experience and understanding on the qualifications, duties
and responsibilities of the Corporate Governance Committee.
