Charter of Executive Committee
Muang Thai Life Assurance Public Company Limited
1. โค งส างของคณะอํานวยกา บ ิหา
Executive Committee Structure
1.1 คณะอํานวยกา บ ิหา จะต องป ะกอบด วยบุคคลไม<เกินเก า (9) คน โดยคําแนะนําของ
ป ะZานเจ าหน าที่บ ิหา และภายใต ความเห็นชอบจากคณะก มกา บ ิษัท
Executive Committee shall be comprised of up to nine (9) members appointed
under the recommendation of the Chief Executive Officer and the approval of
the Board of Directors.
1.2 สมาชิกคนใดคนหนึ่งในคณะอํานวยกา บ ิหา จะถูกเสนอชื่อจากคณะก มกา บ ิษัทเพื่อทําหน าที่
เปjนป ะZานคณะอํานวยกา บ ิหา โดยได ับอนุมัติจากก มกา ในที่ป ะชุมคณะก มกา บ ิษัท
Any members of Executive Committee would be nominated by the Company’s
Board of Directors to take a duty of Chairperson of Executive Committee,
which would be approved in the Board of Directors’ meeting.
2. อํานาจ หน าที่ และความ ับผิดชอบ
Authorities, Duties and Responsibilities
คณะอํานวยกา บ ิหา จะต องมีตําแหน<งเสมือนหนึ่งคณะก มกา บ ิษัทในส<วนที่เกี่ยวกับฝายจัดกา
นอกเหนือจากเ ื่องอื่นที่คณะก มกา บ ิษัทอาจมอบหมายให ทํา คณะอํานวยกา บ ิหา จะต องได ับ
มอบอํานาจจากคณะก มกา บ ิษัทให ก ะทําสิ่งต<อไปนี้ด วย
Executive Committee shall hold a position as if they are the Board of Directors among
the Management. Besides the assignments from the Board of Directors, Executive
Committee shall be granted from the Board of Directors the authorities to perform
as follows.
2.1 ให ความ <วมมือกับฝายจัดกา เกี่ยวกับกา ดําเนินงานป ะจําวันทุก ๆ ด านของบ ิษัทฯ และให ความ
<วมมือกับฝายจัดกา ในกา ดําเนินกา ตามแผนZุ กิจและงบป ะมาณของฝายจัดกา
To cooperate with the Management regarding all aspects of the Company’s
business as usual and to cooperate with the Management to implement according
to the business plan and budget.
