•  In  collaboration  with  key  stakeholders,  drives  the  deployment  of  the  Company-specific
                   EHS&S programs that drive an environmentally responsible and safety culture across all of

                   Cooper’s worldwide locations.  Establishes, reviews, and adjusts Key Performance Indicators
                   (KPIs) to reflect and demonstrate continued improvement in EHS&S performance globally.

               •  Drives incident prevention and evaluates, educates, and responds to predictive behavior.

               •  Establishes  risk  management  strategies  and  mitigation  programs  consistent  with  Cooper
                   Tire risk management processes.

               •  Leads  the  global  EHS&S  team,  including  team  members  who  report  both  directly  and
                   indirectly,  and  provides  professional  input  on  structure  and  staffing  requirements  to
                   achieve objectives.

               •  Provides  technical  guidance  and  performance  feedback  to  EHS&S  staff  to  meet  business
                   goals  as  well  as  the  professional  development  and  impact  of  the  Company’s  EHS&S
                   organization.

               •  Acts as lead company representative with regulatory bodies and other outside parties with
                   respect to environmental, safety, security, and occupational health matters.  Engages the
                   Legal Department and other management as required to resolve issues that may arise from
                   time to time.

               •  In  conjunction  with  site  management,  ensures  that  regulatory  standards  and  external
                   reporting  requirements  are  met.    Stays  abreast  of  trends  and  developing  initiatives  and

                   innovations in the EHS&S profession/community and brings forward practical ideas in the
                   interest of continuous improvement and best practice implementation.

               •  Engages in the role as a “player/coach,” performing as well as directing work.  Among other
                   things, the Director will be conducting and/or overseeing periodic audits and inspections of
                   operations,  facilities,  equipment,  and  materials  and  also  reviewing  and  issuing
                   communications to others in the organization on a variety of EHS&S related matters.

               •  Plays  a  key  role  in  the  crisis  management  policy  and  procedure  development  for  the
                   Company.

               •  Prepares and presents periodic reports to regional leadership, global leadership,  and the
                   Company’s Board of Directors regarding EHS&S initiatives and performance.
