A specific emphasis will be placed on the continued promotion the principles of behavior-based
               safety and encouraging a culture of personal accountability and ownership of safety throughout

               the organization.

               From  a  physical  security  standpoint,  the  Director  will  oversee  all  efforts  surrounding  the
               management  of  on-site  security  operations  all  facilities  around  the  globe  –  ensuring  all
               operations and those working within and around Cooper facilities are secure.


                                                REPORTING STRUCTURE


               This position reports directly to the Sr. Vice President of Global Operations.  Directly supervises
               5-7 people in the EHS&S Department and will provide direct support and indirect supervision to
               those within all remote Cooper facilities around the globe.


                              RESPONSIBILITIES / SUCCESS FACTORS / COMPETENCIES


               •  Develops  and  implements  a  shared  vision  and  strategy  for  EHS&S  that  reflects  Cooper’s
                   business values and supports meeting our business and sustainability objectives.

               •  Develops  a  clear,  long-term  (5-10  year)  strategy  regarding EHS&S  and establishes annual

                   operating plans and targets to achieve the long-term strategy.

               •  Directs the development of objectives, systems, and tools in collaboration with key business
                   stakeholders that support the organizations key strategic objectives.

               •  Develops,  manages,  and  enforces  necessary  safety,  health,  and  security  policies,
                   procedures,  and  systems,  and,  with  the  support  of  management  and  line  operations,
                   establishes  safety  and  security  absolutes  and  annual  metrics  by  which  the  Company  will
                   ensure focus on safety performance and progress.


               •  Develops, manages, and enforces necessary environmental policies, procedures, systems,

                   permits,  and,  with  the  support  of  management  and  line  operations,  establishes
                   environmental absolutes and annual metrics by which the Company will ensure focus on
                   environment and sustainability performance and progress.

               •  Establishes compliance programs with all local, state, and federal EHS&S regulations.
