The Company encourages all employees to come  forward immediately  with any
               complaints they may have so that the Company can take appropriate action under the
               circumstances.  Once a complaint has been made, the Company’s Human Resources
               Department will promptly conduct an investigation of the complaint.

               Amy’s Drive Thru expects all employees to cooperate fully in Company investigations
               by, for example,  answering questions completely and honestly and giving the
               investigator all documents and other material that might be relevant.  All complaints will
               be treated confidentially, to the extent possible.  When the investigation is complete, the
               Company will take corrective action, if appropriate.

               No Retaliation

               The Company prohibits any  form of retaliation against any individual who makes  a
               good-faith complaint  or who cooperates  in the investigation of such reports.  An
               employee who believes that he or she is  being subjected to  any kind of retaliatory
               treatment because they have made or were questioned about a complaint should report
               the alleged conduct immediately to the Company’s Human Resources Department.  In
               accordance with this  policy, the Company  will take appropriate  disciplinary action  for
               any such retaliation, up to and including termination of employment.

               Policy Against Discrimination

               The Company does not tolerate discrimination against job applicants or employees by
               another employee, or by any vendor or customer.  Discrimination against third parties
               by the Company’s employees is also prohibited.  Any form of discrimination on the basis
               of race, religion, color, national origin, sex, disability, medical condition, age, pregnancy,
               childbirth or related  medical condition,  marital status, ancestry, political affiliation,
               veteran status, sexual orientation or identity, past or  present  military service, or any
               other legally protected characteristic is a violation of this policy and will be treated as a
               disciplinary matter.   The Company has zero tolerance  for discrimination  and is
               committed to providing a workplace that is free of any form of discrimination.

               ANTI-HARASSMENT POLICY


               The Company does not tolerate harassment of job applicants or employees by another
               employee, or by any vendor or customer.  Harassment of third parties by our employees
               is also prohibited.  Any form of harassment on the basis of race, color, sex (including
               gender identity, gender expression, pregnancy, family care status),  national origin,
               ancestry, religion, age, disability, genetic information, marital status, sexual orientation,
               medical condition, military or veteran status,  victim of  domestic violence, assault or
               stalking or any category protected by federal, state, or local law is a violation of this
               policy and will be treated as a disciplinary matter.  The Company has zero tolerance for
