Section 3      SERVICE AWARD

                       Service Award rewards employee longevity and loyalty.  A service award recognizes that an
               employee has served an appreciated period of time in your organization. The service award allows the
               employer to thank the employee for his or her service.

                                                   PERSONNEL DISICPLINE
                                             (Implementing Rules of Conduct)

               Section 1      COVERAGE

                       1.1 This  article  enumerates  conduct  and  behavior  that  are  considered  unacceptable  and
                          therefore  violative  of  the  principles  and  standards  defined  in  the  Institution’s  Code  of
                          Conduct  (“Standards”).  It  also  contains  the  procedures  for  disciplinary  action  for  such
                          unacceptable conduct and behavior defined in these rules.

                       1.2 These rules shall  be  applicable  to  all  employees  regardless of  employment status,  level  or
                          position.

                       1.3 All  other  rules  and  regulations  inconsistent  with  these  rules  are  hereby  modified  and
                          superseded accordingly.

               Section 2      GENERAL PRINCIPLES

                       2.1 Discipline  and  order  are  fundamental  and  important factors  to  protect  the  interest of  the
                          School.  They  are  the  basic  tools  to  achieve  the  efficiency  and  effectiveness  necessary  for
                          corporate  growth. Hence,  all  employees  are  expected  to  conduct  themselves  in  a manner
                          compatible  with  their  respective  positions  and  are  bound  at  all  times  to  promote  and
                          safeguard the interest of the School. To this end, it is the primary duty of management to
                          see to it that discipline and order are maintained.

                       For the  effective  implementation of these objectives, all  employees  are  hereby  informed of  these
               Implementing Rules of Conduct for their guidance and compliance. It is also the aim of the School to ensure
               fairness,  consistency  and  equity  in  the  imposition  of  penalties  for  offenses  committed  against  it,  its
               properties, employees, stockholders, sales force, suppliers and all persons/entities doing business with it.

                       2.2 Positive motivation rather than punitive control should characterize the  implementation of
                          these  Implementing  Rules  of  Conduct.  Sanctions  should  be  imposed  to  correct  and
                          discourage unacceptable conduct; to restore the integrity of order and discipline; and never
                          as  a  mere  reprisal  or  a  display  of  power.  Impartiality  and  open-mindedness  should
                          characterize  the  investigation  and  consideration  of  cases.  In  the  imposition  of  sanctions,
                          uniformity  and  fairness  should  be  aimed  for.  Towards  this  end,  due  process  must  be
                          safeguarded  at  all  times.  Action  must  be  timely  but  circumspect.  Prudence  must  always
                          accompany administrative action.
