Signature Authority



      Amended July, 2015, the following policy shall govern the signing of all National Wildlife
      Federation ("NWF") contracts and documents:

      REGARDLESS OF SIGNATORY AUTHORITY, ALL CONTRACTS AND GRANTS MUST BE
      APPROVED VIA THE CONTRACTS PROCESS AND BE ASSIGNED AN NWF CONTRACT ID.


      THESE RULES AND SIGNATORY AUTHORITY LIMITS APPLY TO ALL AGREEMENTS THAT BIND

      NWF, INCLUDING THOSE WHERE NWF IS THE RECIPIENT OF, NOT THE PAYOR, OF FUNDS.


      FUNDRAISING ARRANGEMENTS: UNDER STATE LAW, FUNDRAISING CONTRACTS,
      REGARDLESS OF THE AMOUNT, REQUIRE TWO SIGNATURES.


       Except as otherwise provided herein and consistent with the approved budget for the

       applicable fiscal year, each Vice President and others authorized by the President shall have the
       authority to sign contractual agreements for their department up to $100,000.  The President
       and each Vice President is authorized to delegate signing authority to their respective staffs.  In
       situations where routine invoices, check requests, or purchase orders are issued to the same
       vendor in amounts in excess of $100,000, the departmental Vice President may request that the
       President delegate in writing authority to specific staff to approve those invoices, check
       requests, or purchase orders on a recurring basis.  The request form lists the type of expense

       that may exceed the $100,000 limit, for example, Paper, Printing, Premiums, Mailing Lists, etc.


       Contracts for goods or services exceeding $100,000 must be signed by the President, General
       Counsel or Chief Financial Officer unless previous authorization has been given by the
       President for the specific contract.  Any contracts over $100,000 are reported to the Audit

       Committee of the Board of Directors annually.  The President, General Counsel and Chief
       Financial Officer will use judgment in the consideration of whether the Board of Directors
       should approve the contract in advance.  When calculating the dollar value of the contract,
       consider the cost for each year times the term of the contract if it is a multi-year contract (the
       total value of the contract).  Similarly, add the dollar value of the original contract plus all
       possible options to renew, amendments, addenda and extensions that occur.  Signatory
       authority for unanticipated amendments, options to renew, addenda or extensions should be

       based on total dollar value of the whole contract term.


      Vice Presidents shall not delegate signatory authority to staff that will exceed their own limit.  In
      addition, such delegation of signatory authority shall be limited to an amount consistent with
      the approved budget for the project.
