Vice Presidents shall provide a copy of their department's Delegation of Signatory Authority
Form to the Office of the General Counsel for their records. Any revocation of signing authority
shall be communicated in writing by the person revoking such authority and a copy of such
written communication shall be provided to the Office of the General Counsel.
Employment Related Matters: Personnel Authorization Requests must be approved by the
President or appropriate Vice President and hiring/offer letters must be signed by a
representative of Human Resources. All documents requiring a signature and related to the
discipline, and dismissal of employees shall be reviewed or be signed by the President or Vice
President of the appropriate department and routed to Human Resources and shared with the
Office of the General Counsel and Finance, who must review in advance.
Purchase Requisitions and Orders: Purchase requisitions and orders are considered a binding
contract. In compliance with the Purchasing Policy, purchase requisitions may be signed by staff
up to the amount stated on their department's current fiscal year Delegation of Signatory Form
on file with Finance and the Office of the General Counsel.
Any purchase order exceeding the amount of $10,000, except for routine purchase orders
issued to the same vendor that have previously been reviewed by the Office of General Counsel
and Finance, shall require a consultation with OGC and Finance to determine the
appropriateness of a written contract for the product or service being purchased.
No orders may be placed with vendors which exceed the signatory authority of the staff
member placing the order.
Trademark Applications and Filings: The General Counsel, Secretary, and Assistant Secretary shall
have the authority to sign all trademark applications and contractual documents related to the
management of trade names, trademarks, and other intellectual property rights.
Employee Benefits/Plan Administration:
Following complete review by the General Counsel and Finance, all Administrative Services
Agreements, Policy Applications, and Insurance Contracts relating to various NWF Health &
Welfare Plans will be signed by the NWF Plan Administrator. All subsequent annual renewals
that continue these Agreements unchanged will be signed by the Plan Administrator, without
repeated General Counsel or Finance review subject to re-bidding as discussed above.
Following complete review by the General Counsel and Finance, all Plan Documents and
properly approved Plan Document Amendments for the NWF Pension Plans (Retirement Income
Plan and Tax Deferred Annuity Plan) will be signed jointly by the NWF Plan Administrator and
NWF President/CEO.
Following complete review by the General Counsel, Finance, and NWF Plan Administrator, all
Trust Agreements for the NWF Retirement Income Plan will be signed by the Chair of the Board
of Trustees after approval of the Board of Trustees of the NWF Retirement Income Plan.
