“นายทะเบียนหลักทรัพย์” หมายถึง บริษัทหรือบริษัท ศูนย์รับฝากหลกทรัพย์ (ประเทศไทย)

“Securities Registrar” means the Company or Thailand Securities Depository Company

Limited (in the case that the Company appoints Thailand Securities Depository Company
Limited as the securities registrar of the Company).

“แผนธุรกิจและงบประมาณ” หมายถึง แผนธุรกิจประจ าปีที่ร่างโดยฝ่ายจัดการ และได้รับ

การอนุมัติจากคณะกรรมการ ซึ่งจะน ามาบังคับใช้กับการด าเนินงานของบริษัท รวมถึง

งบประมาณและแผนงานประจ าปีที่เกี่ยวกับเป้าหมายทางการเงินของบริษัท รวมทง

อัตราส่วนเงินทุน และนโยบายที่เกี่ยวเนื่องกับการตลาด ผลิตภัณฑ์ ทรัพยากรบุคคล

การก าหนดราคา และการให้ความช่วยเหลือทางด้านเทคนิค ทั้งนี้ อัตราส่วนเงินทุนดังกล่าว

จะต้องเป็นไปตามเงื่อนไขการรักษาระดับความมั่นคงทางการเงินภายใต้ข้อก าหนดของ

กฎหมายที่ใช้บังคับ

“Business Plan and Budget” means the annual business plan prepared by the

Management and approved by the Board of Directors which applies to the operation
of the Company, including budgets and annual action plans relating to the financial

goal of the Company, capitalization ratio and policies in respect of marketing, products,

human resources, pricing and technical assistance, provided that such capitalization
ratio shall be subject to the solvency requirements under the provisions of the

applicable law.

“ฝ่ายจัดการส าคัญ” หมายถึง บุคลากรที่ด ารงต าแหน่งตามที่ก าหนดไว้ในข้อ 10

“Key Management” means the persons holding office as specified in Article 10.
