ข้อ 6 คณะกรรมการ คณะกรรมการจะต้องก ากับดูแลรับผิดชอบต่อกิจกรรมทั้งหลาย

Article ของบริษัทคณะกรรมการจะต้องรับผิดชอบต่อผู้ถือหุ้นตลอดเวลา และจะต้องจัดตั้ง
คณะอ านวยการบริหารตามความในข้อ 48 รวมถึงมีสิทธิแต่งตั้งและทบทวนการปฏิบัติ

Board of Directors The Board of Directors shall supervise and be responsible for all

the activities of the Company. The Board of Directors shall be responsible for

shareholders at all times and shall appoint the Executive Committee as specified in
Article 48, as well as being entitled to appoint and review the performance of the

Chief Executive Officer, the President and other members in the Executive Committee.

The Board of Directors shall establish and maintain committees for all respects as
specified in these Articles of Association.

ข้อ 7 คณะอ านวยการบริหาร คณะกรรมการจะต้องด าเนินการจัดตั้งและแต่งตั้งคณะอ านวย

มีบทบาทเสมือนหนึ่งเป็นคณะกรรมการในเรื่องที่เกี่ยวกับฝ่ายจัดการ และให้มี
ความรับผิดชอบเบื้องต้นในการหารือข้อกลยุทธ์และร่วมมือกับฝ่ายจัดการในการด าเนินงาน

ตามแผนธุรกิจและงบประมาณ ตลอดจนพิจารณาเรื่องบางประการ ตามรายละเอียด
ที่ก าหนดไว้ในข้อ 48 ส าหรับเรื่องที่เกินขอบอ านาจของคณะอ านวยการบริหารตามที่ก าหนดไว้

Executive Committee The Board of Directors shall establish and appoint the Executive
Committee and shall maintain the Executive Committee throughout the effectiveness

of these Articles of Association. The Executive Committee shall report to the Board
of Directors and it shall be deemed to have the same role as the Board of Directors

in matters in relation to the Management. The Executive Committee shall primarily
