Rules Governing Lakewood Country Club





           ARTICLE II

           Section 1. Resident, Company Resident, Senior Resident, Pre-Resident, Company
           Pre-Resident, Special Resident, Non-Resident, Associate, Honorary Spouse,
           Honorary, Golf Social and House Social Members may extend invitations to guests
           under the following conditions:
           Resident Guests
           Section 2. Members may entertain resident guests for golf upon payment of the
           applicable green fee provided that the same person shall not play golf more often
           than two days in any one calendar month. This limitation shall not apply to the bars,
           lounges and dining areas. All such guests must be accompanied by the inviting
           Member or one of the inviting Member's immediate family entitled to the privileges

           of the Club. Privileges under this section are subject to the restrictions provided in
           Article III, Section 2.
           Section 3. No persons whose Membership has been forfeited or is under suspension
           or persons who have once been denied guest privileges may be entertained at the
           Club.
           Section 4.  A Member's spouse, significant other or children who are covered under
           the Membership are not considered guests of the Member.


           ARTICLE III

           Entertainment
           Section 1. No entertainment shall be given except with the permission of the
           Programs Committee.
           Section 2. Club parties are ordinarily for Members of the Club and their non-
           resident and resident guests. The Programs Committee, by permission of the Board
           of Directors, may restrict guests to certain Club parties.

           ARTICLE IV


           Restrictions
           Section 1. Members' children under 16 years of age will be permitted in the Club
           only in designated areas. Such designated areas are at the discretion of the General
           Manager. Children are not permitted to play in the Clubhouse or on the grounds.
           Children accompanying their parents for meals must be supervised and will not be
           allowed to wander through dining rooms or other areas to the annoyance and
           discomfort of Members. The putting green, chipping green and driving range are

           expressly for golf practice. An adult Member must accompany all juniors (12 years of
