Educational Reimbursement

               MTR believes it is important to invest in our employees and encourage further professional
               development with educational courses that are relevant to the job. In return, we believe this will help
               MTR build a strong business through the employees' application of their newly gained knowledge or
               technical skills when applied on the job.

               Employees may participate in industry related associations, conferences, and educational opportunities.
               They may also qualify for job-related classes at an accredited local college, university, or vocational -
               technical institute or take industry related certification program(s) and obtain reimbursement for tuition
               and/or books.  Unless otherwise agreed, this must be approved prior to beginning the program is
               subject to the following conditions:

               •  Individuals must be a full time employee in good standing for a minimum of one year.
               •  Submission of sufficient course description information and related charges to assist in the
                   evaluation of the educational assistance request.
               •  Pursuit of requested courses of study must not interfere with employees work schedule or job
                   requirements.
               •  Course(s) will be job-related or a pre-requisite for job-related responsibilities providing a direct
                   benefit to MTR and employee in the performance of current duties. This includes preparation for
                   pre-approved increased responsibilities, new assignment or change in career path.

               MTR will reimburse up to $2,000 per anniversary year for the above, unless otherwise agreed. Employee
               must present evidence of satisfactory completion of the course where applicable. Conditions are as
               follows:

               •  Final evaluation of grade (“B or better or “Pass” for Pass/Fail) must be received and submitted along
                   with receipt(s).
               •  Present how the newly gained knowledge will be applied to job.
               •  Employee must remain in good standing and maintain a regular full-time status.
               •  Once reimbursed, employee must remain employed with MTR for a period of at least One-Full-Year
                   following the last day of the program or repayment is required. All such expenses will be deducted
                   from employee’s wages based on the following.
                       - Preparation for a pre-approved change to a new career path.
                       - Termination prior to 9 months requires 100% payback
                       - Termination between 9 & 12 months requires 80% payback.

               You will not be reimbursed for failure to receive credit. Additionally, if you withdrawal from the course
               or voluntarily terminate with MTR before completion you will not qualify for reimbursement.

               This policy does not apply to courses required for on-the-job training and does not change the AT-WILL
               status of the employment relationship, and nothing in this policy prohibits MTR from terminating or
               taking any other action.  Please see the Director of Human Resources for more information or if you
