▪  Regular Meeting of the Executive Management Committee

                             The order of business at the monthly meeting and as far as possible in all other
                      meetings of the Committee shall be as follows:
                             1.  Calling the roll;
                             2.  Secretary’s proof of due notice of meeting;
                             3.  Meeting and disposal of any unapproved minutes;
                             4.  Report of officers, monthly and otherwise;
                             5.  Unfinished business;
                             6.  New business;
                             7.  Resolution and Action taken; and
                             8.  Adjournment.


           III. The BOARD OF DIRECTORS OF IMMACULADA CONCEPCION COLLEGE of SOLDIERS HILLS, INC.

                  The  Board  of  Directors  shall  consist  of  the  School  President,  the  Executive  Vice  President,  the
           Corporate Treasurer, the Corporate Secretary and such other officers all of whom shall be elected by the
           Board.

               A.  The Chairman/Chief Executive Officer

                  The Chairman/CEO shall have the following powers and duties:

                      (a)  He shall presides all over the meetings of the Board of Directors.
                      (b)  He shall be entitled to vote at all deliberations of the Board of Directors.
                      (c)  He may require the President, the School Director or any other officer in charged with the
                         arrangement of the business of the corporation to render a report or accounting of any
                         corporate transaction at any time prior to the regular or special meetings of the Board of
                         Directors.
                      (d)  He  shall  exercise  such  other  powers  and  perform  such  other  duties  as  the  Board  of
                         Directors may from time to time designate.

               B.  The Corporate Secretary

                      The Corporate Secretary is appointed by the Board of Directors, and shall have the following duties:

                      (a)  Keep  the  minutes  of  the  Board  and  serve  as  the  official  custodian  of  the  records,
                         documents and transactions of the Board;
                      (b)  Keep the seal of the Corporation;
                      (c)  He/she shall affix the corporate seal to any instrument or document requiring the same
                         and whenever authorized to do so by the Board of Directors. The corporate seal when so
                         affixed shall be attest to by the Secretary; and
                      (d)  Perform such functions as the Board or the President may delegate to him/her.
