                    must cooperate fully to protect Client’s intellectual property.

                    Client Values

                    Code of Conduct and Business Practices
                    Nationwide (NW) Code of Conduct and Business Practices (available for review at
                    www.nationwide.com, search “Code of Conduct”) reflects commitment to act with
                    integrity every day. Good judgment and the desire to do what is right are the foundation
                    of the Nationwide's reputation.  Client’ success depends on trust and honesty.  In a
                    business that is built on promises, these values are very important. Client expects
                    Temporary Staff to adhere to the standards of behavior described in the Code of
                    Conduct and Business Practices.

                    Guidelines:
                         Any Temporary Staff will be responsible for acting with integrity and
                           maintaining a work environment that supports ethical business practices every
                           day.
                         All Temporary Staff shall comply with all laws, rules, and legal regulations.
                         No Temporary Staff may use another contractor, consultant, agent, broker, or
                           other third party to do anything prohibited by company policy.

                    Always Do the Right Thing
                    Ethical business conduct is not always cut and dry.  It can be extremely difficult to
                    determine the best course of action when you have more than one option. Although
                    something may be legal, it still may not be the right thing to do.  When you run into a
                    situation where the best decision isn’t clear, test your potential decisions by asking the
                    following questions:

                         Is it legal?
                         Could my action give the impression or be interpreted as being inappropriate or
                           unethical?
                         Does my action fit with the Values, Code of Conduct and Client Business
                           Practices?

                    Fraud Reporting
                    Nationwide expects Temporary Staff to report suspected internal fraud to the Office of
                    Ethics and Business Practices at 800-453-8442. Callers may remain anonymous and no
                    caller ID or recording devices are used.

                    Harassment
                    Client is committed to providing a workplace that is free from unlawful harassment.

                    Client does not tolerate any form of harassment based on race, color, religion, gender,
                    disability, age, veteran status, sexual orientation, gender identity, ancestry, national
                    origin or any other characteristic (or classification) protected by applicable federal or
