•  Working for a competitor, supplier or customer while employed by the Company;

                   •  Engaging in self-employment in competition with the Company;

                   •  Using proprietary or confidential Company information for personal gain or to the
                       Company’s detriment;

                   •  Having a direct or indirect financial interest in or relationship with a competitor,
                       customer or supplier;

                   •  Acquiring any interest in property or assets of any kind for the purpose of selling
                       or leasing it to the Company; and
                   •  Committing the Company to give its financial or other support to any outside
                       activity or organization without appropriate written authorization.

               Failure to adhere to this guideline, including failure to disclose any conflict or seek an
               exception, may result in  disciplinary action,  up to and including termination of
               employment.


               EMPLOYMENT OF RELATIVES

               Amy’s Drive Thru welcomes relatives of employees for consideration for open positions.
               However, we cannot hire relatives of current employees if such hiring would create a
               supervisory relationship with that relative.  For purposes of this policy, relative means
               spouse, domestic partner, mother, father, children, sisters, brothers, mother and father-
               in-law, sons and daughters-in-law, cousins, aunts and uncles.

               Present employees who become related, for example, by marriage or by entering into a
               domestic partnership, to another present employee from the same department where a
               supervisory relationship develops will be permitted  to continue their  employment.
               However, the Company may transfer  one of  the related  employees to  a  different
               position in order to end the supervisory relationship.

               ELECTRONIC COMMUNICATIONS POLICY

               This policy establishes guidelines  for proper use of the computers, software and
               telecommunications systems (“Facilities”) of Amy’s Drive Thru.

               Ownership of Facilities:  Amy’s Drive Thru maintains as part of its technology platform
               servers, computers,  software, networks, voice mail and  electronic mail systems
               (“Facilities”).  The Facilities belong to the Company and all messages sent, received,
               composed, stored on and/or deleted from the Facilities are the property of Amy’s Drive
               Thru.   Facilities are provided to assist in the conduct of business.   Employees and
               contractors (“Parties”) are given access to the Internet and to the Facilities to help them
               perform their job duties and further the Company’s interests.
