Use of Facilities:  Except for occasional personal use, the Facilities are to be used for
               authorized business purposes only.  The Company will determine in its sole discretion
               the scope of permissible “occasional personal use”. The Company reserves the right to
               monitor use  of the Facilities’ Internet Access.   Parties  may access the Internet  only
               through  an approved Internet firewall.    Direct  access by modem  is strictly prohibited
               unless the accessing computer is not connected to the Company’s network.
               Prohibited Use/Activities:   Use of the Facilities to further any improper or unlawful
               purpose is prohibited.   Transmitting, receiving, displaying, printing, forwarding, or
               otherwise disseminating material that is  fraudulent, illegal, harassing, offensive,
               embarrassing, sexually explicit, obscene, threatening, or  defamatory is prohibited.
               Parties  may not  use the Facilities  for commercial advertisements,  solicitations, or
               promotions other than on behalf of the Company and to further the Company’s interests;
               for personal advertisements, solicitations  or promotions;  for the dissemination  of
               destructive programs such  as virus software and self-replicating code;  for the
               dissemination of political material; or for any other unauthorized use.

               Codes:  Access codes must be disclosed to the Company.  The use of unauthorized
               codes or passwords to gain access to files on the Facilities is prohibited.
               Trade Secrets Disclosure:  the Company’s trade secrets/confidentiality policy applies
               to the Internet and the Facilities.  In communicating with others, exercise at least the
               same level of care  in what you reveal as you do when using other  forms  of
               communication.  Sensitive or confidential information should not be communicated over
               the Internet or via e-mail unless security safeguards are in place.  E-mail is not a secure
               medium unless encryption or other similar measures are taken.

               Commitments on Behalf of Amy’s Drive Thru:  Statements made in e-mails can bind
               Amy’s Drive Thru.  Parties should use the same level of care in e-mail messages that
               they use in other  forms of communication.  In particular, Parties should  not  make
               negative statements about the products of third parties.

               Viruses:  All material downloaded from the Internet or from computers or networks that
               do not belong to the Company must be scanned for viruses before being placed onto
               the Facilities.  All material downloaded from the Internet, received via external e-mails
               or received from computers or networks that do not belong to the Company must be
               scanned for viruses before being placed onto the Facilities at Amy’s Drive Thru.
               Waiver of Privacy:   The Company respects the individual  privacy rights of  its
               employees.  However, an employee cannot expect privacy rights to extend to use of the
               Company’s Facilities.  the Company has the right but not the duty to monitor any and all
               aspects of its Facilities including, but not limited to, reviewing incoming and outgoing e-
               mail and voice mail messages – including attachments - sent, forwarded and received
               by Parties; monitoring chat rooms and newsgroups; reviewing material downloaded or
               uploaded by Parties; and monitoring Web sites visited by Parties.  Parties, by signing
