The Company is entitled to issue and offer securities for sale (with or without the

conversion rights into ordinary shares) to the shareholders, the public or any person at

the par value, or the price above or below the par value, under the law governing public
limited companies, the law governing securities and exchange, and the law governing

life insurance, including the notifications issued by virtue of such laws, as well as any
other applicable laws and regulations;
