The Company’s Articles of Association is a controlled document. Do not distribute without permission.

(1) ในกรณีปกติ ให้ถือคะแนนเสียงข้างมากของผู้ถือหุ้นซึ่งมาประชุมและออกเสยง

In general, a resolution shall be passed by a majority vote of shareholders

present at the meeting and cast their votes.

(2) ในกรณีดังต่อไปนี้ ให้ถือคะแนนเสยงไม่นอยกว่าสามในส (3/4) ของจ านวนเสยงทงหมด

In the following circumstances, a resolution shall be passed by a vote of not less than
three-quarters (3/4) of the total votes of the shareholders present at the
meeting and entitled to vote.

(ก) การขายหรือโอนกิจการของบริษัททั้งหมด หรือบางส่วนที่ส าคญใหแกบคคลอื่น

(a) To sell or transfer the whole or important parts of the business of the
Company to other persons;

(ข) การซื้อหรือรับโอนกิจการของบริษัทเอกชน หรือบริษัทมหาชนอื่นมาเป็นของบริษท
(b) To acquire or accept the transfer of a business of other private companies

or public companies by the Company;

(ค) การท า แก้ไข หรือยกเลิกสัญญาเกี่ยวกับการให้เช่ากิจการของบริษัททั้งหมด

หรือบางส่วนที่ส าคัญ การมอบหมายให้บุคคลอื่นใดเข้าจัดการธุรกิจของบริษท
หรือการควบรวมกิจการกับบุคคลอื่นโดยมีวัตถุประสงค์เพื่อการแบ่งผลก าไรขาดทุนกัน

(c) To make, amend, or terminate agreements concerning the lease of all or an

important part of the business of the Company, to assign to another person
to manage the business of the Company, or to merge the business with

other persons for the purposes of sharing profits and losses;

(ง) การแก้ไขเพิ่มเติมหนังสือบริคณหสนธิ หรือข้อบังคับของบริษท

(d) To amend the Memorandum of Association or the Articles of Association of

the Company;

(จ) การเพิ่ม หรือลดทุนจดทะเบียนของบริษัท

(e) To increase or decrease the Company’s registered capital;
