                                            CODE OF CONDUCT



               CODE OF EMPLOYEE CONDUCT

               The Board of Directors of Mission has adopted this Code of Ethical Conduct (“Code”) for its
               directors, officers, and employees. This Code was adopted to  express the commitment  by the
               leadership  of  Mission  to  fair  and  honest  dealings  with  employees,  vendors,  and  health  care
               providers.

               Honest and Ethical Conduct: Employees are expected to perform their job duties with honesty
               and the utmost integrity. Honest conduct is considered to be conduct that is free from fraud and
               deception. Acting with integrity includes avoiding actual or apparent conflicts of interest between
               personal and professional relationships.

               Disclosure: Mission’s employees will not knowingly:
                   ➢  Make or direct another person or entity to make materially false or misleading entries in
                       Mission’s financial statements or records;
                   ➢  Fail to correct materially false and/or misleading financial statements or records;
                   ➢  Sign a document containing materially false and/or misleading information; or
                   ➢  Falsely  respond  or  fail  to  respond  to  specific  inquiries  from  Mission’s  members  of
                       management, its independent auditor or its outside legal counsel.

               Compliance: It is Mission’s policy to comply with all applicable laws, rules, and regulations.
               Mission employees must also comply with the PhRMA Code on Interactions with Health Care
               Professionals and avoid any appearances of inducing physicians to write prescriptions for Mission
               drug products. All drug marketing materials shall contain a fair balance of information and only
               reflect approved drug claims for FDA-approved drugs. No off-label claims shall be made by a
               Mission employee.

               Reporting:  Employees  shall  report  any  known  or  suspected  misconduct  to  their
               supervisor/manager. Employees are encouraged to use Mission’s Anonymous Reporting System
               by calling (800) 255-6387, extension 301, to report breaches of this Code or a violation of a law,
               policy, or procedure. Employees will not be retaliated against for reporting in good faith any
               suspected illegal or unethical behavior.

               Accountability:  All  employees  are  expected  to  work  in  a  cooperative  manner  with
               supervisors/managers, co-workers, customers, and vendors. Employees will not be discourteous
               or disrespectful to a customer or any member of the public while in the course and scope of Mission
               business.
