                  ARTICLE ILI4-  ASSIGNMENT OF'C IMS FORPAYMENTS  TO THIRD PARTIES

                  II.14.1 The beneficiaries  ntay not assign any of their claims for payment  against  the Agency to any
                          third party, except'if approved  by the Agency  on the basis of a reasoned, writte-n request  by
                          the coordinator made  on behalf of the berret'iciaries.

                          lf the Agency  does not accept the assigrunent  or the terms of it are not cornplied  with.  the
                          assignment  has no effect orr it.

                  ll.l4.2 ln no circumstances may an assignrnent release the beneficiaries  fi.om their oblisations
                          towards  the Agency.


                  ARTICLE II.15    F'ORCE  MAJEURE
                                -

                  II.l5.l  A party faced with./brce nwjeure  must send a.formal  noiification  to the other party without
                          delay, statilrg the nature of the situation  or of the event, its likely duratiou  and foreseeable
                          eff'ects.

                  II.15.3 The party  faced with/orce majeure may not be considered  in breach of its obligations  under
                          tlre Agreement if it has been prevented  from firlfilling then by  force  ntajeure.

                  ARTICLE II.16    SUSPENSION  OF THE IMPLEMENTATION  OF THE ACTION

                  II,16.l Suspension  of implementation  by the beneficiaries


                  The coordinator, on behalf of the beneficiaries, may suspend  the implementation of tI-re actiot? or any
                  part of it, if exceptional circumstances  make  such irnplernentation irnpossible or excessively difficuli,
                  irr particular in the event of  Jbrce  majeure.

                  The cooldinatol  must imrnediately infbrm  the Agency, stating:

                     (a) the reasons fbr suspension,  including details about the date or period when the exceptional
                        circunrstances  occurred;  and
                     (b) the expected date of resumption.

                  Once the circutnstances  allow the beneficiaries to feslllne irnplementin g the action, the coordinator
                  rnust inform  the Agency immediately and plesent  a request for amendment of the Agreement  as
                  provided fbr in Article 11.16.3.  This obligation  does not apply if the Agreernent  orthe participation  of
                  a beneficiary  is terminated in accordance  with Articles II.l7.l, ll.l7.2  or-points  (c) oi (d) of Arlicle
                  I1,17.3.t.


                  Il.16.2 Suspension  of implementation  by the Agency





                 The Agency may suspend  the implernentation of the action or any parl thereofl
                     (a) if the Agency has evidence that a beneficiary  has comrnitted irregularities,fraud  or breach of'
                        obligations  in the award  procedure  or while implementing the Agreernent;
