If the coordinator's pafticipation is terminated without its agreement,the.formul notificatiott must be
submitted by another beneficiary (acting on behalf of the other beneficiaries).

T he.fornml n otifi cat ion mu st incl ude:

(a) the reasons for termination;
(b) the opinion of the beneficiary concerned by termination (or proof that this opinion has been
requested in writing);

(c) the date on lvhich the termination takes effect. This date must be set alter the lbrmul
notification; and

(d) a request for amendrnent as provided for in Article 11.17.4.2(a).

If the coordinator or beneficiary does not state the reasons for the termination or if the Agency
considers that the reasons do notjustifo termination, the participation will be considered to have been
term inated irnproperly.

The termination takes effect on the day specified in the.fornnl notification.

II.17.3 Termination of the Agreement or the participation of one or more beneficiaries by
the Agency

II.17.3.1 Grounds for termination

The Agerrcy may tenninate the Agreement or the palticipation of any one or several beneficiaries, if:

(a) a change to the beneficiary's legal, financial, technical, organisational or ownership situation
is likely to affect the irnplementation of the Agreement substantially ot calls into question the
decision to award the grant, or a change regarding the exclusion situatious listed in Article 136
of Regulation (EU) 2018/1046, that calls irrto question the decision to award the grant;

(b) following the termination of the participation of any one or several beneficiaries, the necessary
rnodifications to the Agreement would call into question the decision awarding the grant or
would result in unequal treatment of applicants;

(c) the beneficiaries, any related person or any natural person who is essential for the award or
for the implementation of the Agreement have committed serious breach of' obligations,
including improper implementation of the action as described in Annex I;
(d) the itnplementation of the actiort is prevented or suspended due to .force najcure or
exceptional circumstances and either:

(i) resumption is impossible; or
(ii) the necessary changes to the AgreemenL would call into question the decision
awarding the grartt or be corttrary to the equal treatrnent of applicants;

(e) a beneficiary or a naturalor legal person that assumes unlimited liabitity fol the debts of that
beneficiary;

(i) is declared bankrupt, is subject to insolvency or winding up procedures, its assets are
being adrninistered by a liquidator or by a Court, has entered into an agreement rvith
creditors, has suspended business activities or is in any arralogous situation arisirrg
from a similar procedure provided for under the Uniou or national law;
