Rules of the Road

                                8-111   You are responsible for keeping your vehicle under control at all
                                       times.  Maintain professionalism at all times.

                                8-112   Employees may not use electronic telecommunication devices
                                       (ETD’s) while operating a Company motor vehicle or a personal
                                       or rental motor vehicle on Company business unless; (1) the
                                       ETD has hands-free capability and may be answered or dialed
                                       by a single button; and (2) operating the ETD is permitted by
                                       applicable laws and regulations.

                                8-113   All Company-provided ETDs will have hands-free capability and
                                       a voice message feature. If an employee does not have such
                                       capability on a Company-provided ETD or if the employee’s work
                                       duties are such that he/she must use his/her personal ETD
                                       occasionally for Company purposes, he/she should immediately
                                       notify his/her supervisor to have the proper equipment provided
                                       or installed without cost to the employee.

                                3-114   If acceptance of any call while driving could compromise safety,
                                       the employee should allow the call to forward into voice mail for
                                       later attention or drive to a safe area and place the vehicle in
                                       park prior to accepting the call.

                                3-115   Employees should use special care in situations where there is
                                       traffic, inclement weather, unsafe road conditions, or the
                                       employee is driving in an unfamiliar area.

                                8-116   Use caution at all intersections - never  take right-of-way from
                                       another vehicle; yield to production equipment.

                                8-117   Do not direct or signal traffic from the rear to pass your vehicle.

                                8-118   Use proper signals for turning, passing or stopping.

                                8-119   Signal well in advance of any turn or lane change.

                                8-120   Maintain a proper distance between your equipment and the
                                       vehicle ahead. This is a particular hazard when it involves
                                       compact automobiles.

                                8-121   Be aware of blind spots. Use extreme caution when driving in
                                       “stop-and-go” traffic or any time where a car might abruptly pull
                                       in front of you or behind you.

                                8-122   While driving on public streets, always drive in the far right hand
                                       lane unless passing other vehicles.

                                8-123   Check for proper clearance before passing a vehicle or
                                       stationary object.
