         III. BOARD AND RELATED MATERIALS

In the interest of time, as well as to convene and move the meeting forward,
Alonzo would -- within two weeks before a meeting -- send a draft of the Board
meeting agenda to the president of the Board. The president would review, edit

and/or approve the Draft for dissemination. Once approved, he uses email to
disseminate the agenda and other related documents -- including materials which
assist members of the board to articulate, deliberate and decide on how to vote on
             the day of the meeting.
