power and term provided by the appointing Chapter President. The Chair shall keep a detailed
                       account of each meeting and present a final report to the Executive Board and the Chapter.


                                       ARTICLE VIII - Meetings and Conferences

               Section 1:     Time and Place

               A.      Regular Meetings.  The Chapter shall hold a Mothers’ Meeting every month from September to
                       May during the Program Year every 3  Sunday, unless otherwise agreed upon by the Chapter

                       and or Executive Board.

                       1.     Notice shall be provided no later than one week prior to the scheduled meeting to each
                              Member at any address (physical  or  electronic) provided in the official  Membership
                              Directory managed by the Membership Committee.

                       2.     Mothers  Meetings  may be held in person, via conference  call,  video  conference or
                              webinar.

                       B.     Special Meetings.  A special meeting may be called by the Chapter  President or any two
                              Executive Board members at any time with 72 hours notification to each Member at any
                              address (physical or electronic) and preferred phone number (cell or home) provided in
                              the official Membership Directory managed by  the  Membership  Committee.   The
                              meeting may be held in person, webinar (or similar technology),or by conference call. It
                              shall be exempt from a Quorum, however, any recommendations that are  made  are
                              subject to ratification by an appropriate vote of a Quorum of the Chapter Membership.
                              However, no official business concerning approval of the Budget, amendment of these
                              Bylaws, Involuntary Termination of  membership,  election of officers,  removal of
                              officers, consideration of a grievance, or election of new Members may be considered
                              if a Quorum is not present.

                       Notice of a Special Meeting: shall include the date, time, location or call-in information and an
                       agenda. The Chapter President (or Vice President in her absence) shall preside.

               C.      The Chapter President may hold an annual retreat for the purpose of preparing the Chapter
                       for the active Program Year (September to May). The Retreat shall qualify as a Chapter-
                       Sponsored Event. Participation in the retreat shall not be a prerequisite for participation
                       in/admission to any Special Meeting held in conjunction with the retreat.

               D.      National Convention and Regional Mothers’ Conference Attendance Requirement
                       (aka the “1 in 4 Requirement).   Every Member shall attend one National  OR  one
                       Regional Mothers’ Conference OR one Regional Area Workday/cluster conference on a
                       rolling four-year period for the duration of her membership tenure.
