Board of Directors

ข้อ 31 ให้บริษัทมีคณะกรรมการเพื่อด าเนินกิจการของบริษัท ประกอบด้วยกรรมการจ านวนไม่เกน
Article สิบหก (16) คน โดยกรรมการไม่น้อยกว่ากึ่งหนึ่ง (1/2) ของจ านวนกรรมการทั้งหมด จะต้อง

มีถิ่นที่อยู่ในประเทศไทย และกรรมการไม่ต ่ากว่าสามในส (3/4) ของจ านวนกรรมการทั้งหมด

จะต้องมีสัญชาติไทย

The Company shall have the Board of Directors, consisting of no more than sixteen (16)

Directors, to conduct its operation, provided that no less than one-half (1/2) of the
total number of Directors shall reside in the Kingdom of Thailand and no less than

three-quarters (3/4) of the total number of Directors shall be Thai nationals.

A Director needs not necessarily be a shareholder of the Company.

ข้อ 32 ให้ที่ประชุมผู้ถือหุ้นเลือกตั้งกรรมการตามหลักเกณฑ์ และวิธีการดังต่อไปน ี้

Article The Directors shall be elected by the shareholders’ meeting in accordance with the

following rules and procedures:

(1) ผู้ถือหุ้นคนหนึ่งมีคะแนนเสียงเท่ากับหนง (1) หุ้นต่อหนึ่ง (1) เสียง
Each shareholder shall have one (1) vote for one (1) share.

(2) ผู้ถือหุ้นแต่ละคนจะใช้คะแนนเสียงที่มีอยู่ทั้งหมดตาม (1) เลือกตั้งบุคคลเดียว

หรือหลายคนเปนกรรมการก็ได แต่จะแบ่งคะแนนเสยงให้แก่ผู้ใดมากน้อยเพียงใดไม่ได้

Each shareholder may exercise all the votes he or she has under (1) above to
elect one or several persons to be Director or Directors, but cannot divide his/her

votes to any particular person in any number.

(3) บุคคลที่ได้รับคะแนนเสียงสูงสุดตามล าดับลงมาเป็นผู้ได้รับเลือกตั้งเป็นกรรมการ

เท่าจ านวนกรรมการที่จะพึงมีหรือจะพึงเลือกตั้งในครั้งนน

The candidates shall be ranked in order descending from the highest number of

votes received to the lowest, and shall be elected as Directors in that order until
all of the Director positions are filled.
