ข้อ 33 ในการประชุมผู้ถือหุ้นสามัญประจ าปีทุกครั้ง ให้กรรมการออกจากต าแหน่งจ านวน

Article หนึ่งในสาม(1/3) ของจ านวนกรรมการทั้งหมดในขณะนั้น ถ้าจ านวนกรรมการจะแบ่งออก

ให้ตรงเป็นสามส่วนไม่ได้ ก็ให้ออกโดยจ านวนใกล้ทสุดกบส่วนหนึ่งในสาม (1/3)

At each annual general meeting, one-third (1/3) of the total number of the Directors

at that time, or if the number is not a multiple of three, then the number nearest to

one-third (1/3), must retire from office.

กรรมการซึ่งพ้นจากต าแหนง อาจได้รับเลือกให้กลบเข้ามารับต าแหนงอีกได ้
A retiring Director is eligible for re-election.

กรรมการที่จะต้องออกจากต าแหน่งในปีแรกและปีที่สองภายหลังจดทะเบียนบริษัทนน
ให้จับสลากกัน ส่วนปีหลังๆ ต่อไปให้กรรมการคนที่อยู่ในต าแหน่งนานที่สุดนั้นเป็นผู้ออก

จากต าแหน่ง

The Directors retiring from office in the first and second years after the registration

of the Company shall be selected by means of drawing lots. In subsequent years,
the Director who has held office the longest shall retire.

ข้อ 34 นอกจากการพ้นจากต าแหน่งตามวาระแล้ว กรรมการจะพ้นจากต าแหนงเมื่อ
Article Apart from retirement upon expiration of the term of office, a Director shall cease
to hold office if he or she,

(1) ตาย

dies;

(2) ลาออก

resigns;

(3) ขาดคุณสมบัติ หรือมีลักษณะต้องห้ามตามกฎหมายว่าด้วยบริษัทมหาชนจ ากด

กฎหมายว่าด้วยหลักทรัพย์และตลาดหลกทรัพย์ และกฎหมายว่าด้วยประกนชีวิต

lacks the requisite qualifications or possess prohibited characteristics under the

law governing public limited companies, the law governing securities and exchange

and the law governing life insurance;

(4) ที่ประชุมผู้ถือหุ้นลงมติให้ออกตามข้อ 36

is removed by a resolution of the shareholders’ meeting as specified in Article 36;

(5) ศาลมีค าสั่งให้ออก

is removed by a court order.
